Licence Agreement
DraftShaperLab Pro — Licence Agreement
DRAFT — to be reviewed by a Portuguese lawyer before publication. Version 1.0 · 11 October 2026
This Licence Agreement (the "Agreement") is between you and Sculpted Chronicles, Lda and covers your use of ShaperLab Pro. Please read it. The parts that matter most are in bold: what you may do with the software (sections 2–6), checking toolpaths before you cut (section 8), and your rights as a consumer (sections 12–13).
1. Who we are
ShaperLab Pro is developed by Sculpted Chronicles, Lda (the Fajã Surf Labs shaping lab), a Portuguese private limited company, NIPC 519412443, with registered office at Avenida Marcos Marques Rosa, Nº 100 – Fajã da Areia Pico, 9240-040 São Vicente, Madeira, Portugal ("we", "us"). Contact: legal@shaperlab.pro.
"Software" means the ShaperLab Pro desktop application, its updates, the templates and data supplied with it, its documentation and the licence keys or licence files that activate it. "You" means the person who accepts this Agreement. If you accept for a company, you confirm that you may bind it, and "you" also means the company.
You are a consumer if you use the Software for purposes outside your trade, business or profession. A shaper who makes boards to sell is usually acting as a business. Where this Agreement treats consumers and businesses differently, it says so.
You accept this Agreement by ticking the acceptance box in the Software or at purchase, or by installing or using the Software.
2. Licence
We grant you a non-exclusive, non-transferable licence to install and use the Software in object code, during the term of your plan, on the computers your plan allows (section 5), for your own design and manufacturing work, including commercial work: you may design, make and sell boards with it.
The Software is licensed, not sold. We and our licensors keep all rights not expressly granted. Nothing in this Agreement takes away a right that the law gives you and that cannot be excluded by contract.
3. Plans and subscriptions
The Software is offered in plans: Free viewer, Design, Pro, Pro + Export and Pro + CNC. The features of each plan are those described on our price page at the time you subscribe.
- Billing periods. Paid plans are monthly or annual subscriptions. They renew automatically for the same period until you cancel. You can cancel at any time. The cancellation takes effect at the end of the period already paid, and you keep access until then.
- Prices. Prices for consumers include VAT. We will tell you about a price change at least 30 days before it applies to your next renewal. You can cancel before then.
- Reseller. We may sell subscriptions through a reseller that acts as merchant of record (for example Paddle or Lemon Squeezy). In that case the reseller sells you the subscription and handles payment, invoicing, taxes and refunds under its own buyer terms. This Agreement still governs your use of the Software.
- Online checks. Paid plans are checked online from time to time. If the Software cannot reach our licence server, it keeps working for 14 days before it asks you to go online.
- When a plan ends, the Software returns to the Free viewer or stops opening, as the plan describes. Your files are never deleted and remain yours.
4. Beta
The Software is currently a private beta. It is given free of charge to invited testers, with offline licence keys that expire on the date shown in the app. During the beta:
- the Software is provided "as is". It may contain errors, and features may change or be removed;
- we may end the beta, or your beta licence, at any time;
- the Beta Tester Agreement also applies.
Feedback. If you send us ideas, suggestions or bug reports, you allow us to use them freely, without payment, to improve the Software. You keep the right to use your own ideas. You never give us any rights in your boards or files by sending feedback, unless you send a board and say we may use it.
5. Computers and licence keys
- Computers. You may activate one licence on up to [two (2)] computers that you use, but not on two computers at the same time by different people. A business licence covers one named user. [OWNER DECISION: one or two computers.]
- Keys are personal. Keep your serial number, product key and licence file confidential. Do not share, publish or sell them.
- Moving a licence. To move a licence to another computer, deactivate it under Preferences ▸ Licence and start screen and follow the steps shown.
- Computer ID. A licence may be tied to one computer through the computer ID that the Software shows. The Privacy Policy explains how this ID is made.
6. What you may not do
Except where the law expressly allows it, you may not:
- copy the Software, except to install it as allowed and to make one back-up copy;
- distribute, rent, lend, sell, resell or sublicense the Software or your licence keys, or make the Software available to others as a service;
- remove or bypass the licence check, or remove copyright, trademark or licence notices;
- modify, translate, decompile, disassemble or otherwise reverse engineer the Software.
Your legal rights remain. Under articles 5 and 6 of Directive 2009/24/EC and Decreto-Lei n.º 252/94, a lawful user may:
- make a back-up copy;
- observe, study and test how the Software works, to understand the ideas behind it;
- decompile the parts needed to make an independently created program work with the Software, when the information needed for that is not readily available and within the limits of those articles.
Before you decompile for interoperability, please ask us for the information first. We will give it to you if we reasonably can.
7. Your designs and files
You own your designs. Boards, shapes, drawings, G-code, exports and other files that you create with the Software belong to you or to whoever you agree with. We claim no rights in them.
Your files stay on your computer. We do not receive them unless you choose to send them to us, for example by attaching a board to a problem report.
You may use, change and build boards from the templates supplied with the Software, including commercially. You may not redistribute the template files themselves as a collection.
Blank catalogue data (such as foam blank sizes) is provided for convenience. Always check it with the manufacturer.
8. CNC and machining safety
The Software creates toolpaths and G-code for CNC machines and hot-wire cutters. Before you run any program, you must check it:
- use the preview and the cut simulation;
- check the machine's limits, the tool, the work holding, the feeds and speeds and the origin;
- make a dry run (air cut) where possible.
You, or the operator you choose, are responsible for the machine and its safe operation. Always follow the machine maker's instructions and the safety rules that apply in your workplace.
We are not responsible for damage to machines, tools, blanks or other property that comes from running a program that was not checked as described above. This section does not limit our liability where section 15 says it cannot be limited.
9. Accuracy and the Shaper Advisor
Volumes, areas, weights, stability and flex estimates, and other measurements are calculated from the digital model. A finished board will differ, because of shaping, sanding, glassing, foam and fittings. Treat these figures as indicative.
The Shaper Advisor suggests dimensions from general rules of thumb about the surfer and the waves. Its suggestions are indicative and are not professional advice (engineering, medical, sports or safety). The shaper and the surfer make the final decisions.
The details you enter in the Advisor (weight, height, age, fitness, level) are about your customer. You are responsible for that information (see the Privacy Policy, section 7).
10. Updates and changes
We may release updates. The Software can check whether a newer version exists. It never downloads or installs anything by itself.
For consumers with a paid plan, we will provide the updates, including security updates, needed to keep the Software in conformity during the subscription, as Decreto-Lei n.º 84/2021 requires. We may also change or improve features. If a change reduces the main features of a paid plan in a way that matters to you, we will tell you in advance. You may then end the subscription and receive a refund for the unused period, as the law provides.
11. Term and termination
- When it ends. This Agreement lasts as long as you have a licence or plan.
- Ending it yourself. You may end it at any time by uninstalling the Software and, for a subscription, cancelling it.
- Ending it for breach. We may end your licence if you seriously breach this Agreement, for example by sharing or selling keys or bypassing the licence check. Where the breach can be put right, we will first give you notice and 14 days to do so.
- What happens then. You must stop using the Software. Your files remain yours.
- What survives. Sections 7, 9, 14, 15, 18 and 20 continue to apply.
12. Right of withdrawal and refunds (consumers in the EU)
As a consumer buying at a distance, you normally have 14 days to withdraw from a contract without giving a reason (Decreto-Lei n.º 24/2014).
For digital content that is not supplied on a physical medium, you lose this right once the supply has started, but only if all of the following apply:
- you expressly asked us to start the supply before the 14 days end;
- you acknowledged that you would lose the right of withdrawal by doing so;
- we confirmed this to you.
At checkout you will be asked to give this consent. If you do not give it, you keep the full 14 days.
Refunds. [OWNER DECISION — refund policy, for example: "We refund your first payment for any plan if you ask within 14 days, whatever the reason."] If you bought through a reseller, ask for the refund through the reseller.
The free beta involves no payment, so there is nothing to refund.
13. Legal guarantee of conformity (consumers)
If you are a consumer, you have the legal guarantee of conformity for digital content under Decreto-Lei n.º 84/2021. For a subscription, we are responsible for any lack of conformity during the whole subscription period.
You are entitled, free of charge:
- to have the Software brought into conformity; or, where the law allows,
- to a price reduction; or
- to end the contract.
Nothing in this Agreement limits these rights.
Businesses. For paid plans, we warrant that the Software will perform substantially as described in its documentation. If it does not, tell us. We will fix the problem or, if we cannot within a reasonable time, you may cancel and receive a refund for the unused period. Beyond that, and as far as the law allows, the Software is provided without other warranties.
14. Third-party software and trademarks
- Open-source components. The Software includes open-source components (Electron/Chromium, React, three.js and others). Each is licensed under its own licence, listed with its text in the Third-party notices (Help ▸ Legal). For those components, their licences prevail over this Agreement.
- Our name. "ShaperLab Pro" is the name of our product. You may not use it, or anything confusingly similar, for your own products.
- Shape3d. Shape3d is a trademark of its respective owner. ShaperLab Pro names it only to say which files it opens and writes. We are not affiliated with, endorsed or sponsored by the owner of Shape3d.
- Other names. Other product names belong to their owners. They are named only to describe compatibility.
15. Liability
Nothing in this Agreement excludes or limits our liability:
- for death or personal injury caused by our fault;
- for intent (dolo) or gross negligence (culpa grave);
- in any other case where the law does not allow it to be excluded or limited (including article 809 of the Civil Code and Decreto-Lei n.º 446/85).
Consumers. We are liable for damage that was a foreseeable result of our breach of this Agreement. We are not liable for damage you could have avoided by following section 8 or by keeping reasonable back-ups of your files.
Businesses. As far as the law allows:
- we are not liable for indirect or consequential loss, loss of profit, revenue, business or data, or for the cost of materials, machine time or replacement boards;
- our total liability under this Agreement is limited to the amount you paid us for the Software in the 12 months before the claim, or EUR 100 if you paid nothing.
16. Privacy
The Privacy Policy explains what information the Software keeps on your computer and what we receive. The Software works offline. Your boards stay on your computer.
17. Changes to this Agreement
We may update this Agreement. The Software will show you the new version and ask you to accept it. For a paid subscription, important changes apply from your next renewal. If you do not accept the new version, you may stop using the Software. For a paid subscription you may cancel and receive a refund for any prepaid period you have not used.
18. Governing law and disputes
- Governing law. This Agreement is governed by Portuguese law.
- Consumers. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence. You may bring proceedings in the courts of Portugal or of your country of residence.
- Businesses. For business customers, the courts of the comarca da Madeira, sitting in Funchal, have exclusive jurisdiction.
Consumer dispute resolution. If we cannot settle a complaint between us, consumers resident in Portugal may turn to a consumer arbitration centre:
- CNIACC — Centro Nacional de Informação e Arbitragem de Conflitos de Consumo (www.cniacc.pt);
- or another centre competent for their area. The list is at www.consumidor.gov.pt.
Consumers may also use the electronic complaints book (Livro de Reclamações, www.livroreclamacoes.pt).
19. General
- Severability. If a court finds part of this Agreement invalid, the rest still applies.
- No waiver. If we do not enforce a right at once, we have not given it up.
- Assignment. We may transfer this Agreement to a company that takes over the Software, and we will tell you. You may transfer it only with our written consent, unless the law gives you that right.
- Entire agreement. This Agreement, the Privacy Policy and, during the beta, the Beta Tester Agreement are the whole agreement about the Software.
20. Language
This Agreement is written in English, and the English text governs. We also provide Spanish and Portuguese versions for convenience. If they differ, the English text prevails. The only exception is where the law of your country gives you the right to rely on a version in your own language (for example, consumers in Portugal under Decreto-Lei n.º 238/86); in that case that version also binds us.
